Plan. Local Search Marketing program focused on Lead Generation, Google Business Profile (GBP), reviews, citations, on-site local signals, and intake tracking (the “Services”) where applicable.
1) Term, Renewal & Cancellation

Initial Term: 3 months (90 days) beginning on the Start Date.

Start Date: The later of (a) countersignature + first payment, or (b) receipt of required access (GBP, website/CMS, analytics, call tracking).

Renewal: After the Initial Term, the Agreement automatically renews month-to-month.

Cancellation: Either party may cancel after the Initial Term with 30 days’ written notice.

Early Termination: If Client cancels during the Initial Term, all remaining installments for the Initial Term become due immediately.
2) Fees & Payment

Fee: $1,500 per month, billed in advance.

Method: Credit card or ACH on file. Client authorizes automatic monthly charges.

Late Payment: Past due amounts incur the lesser of 1.5% per month or the maximum allowed by law. Agency may pause work after 10 days past due and terminate after 20 days past due.

Refunds: Fees are for work performed and non-refundable once a month has begun.
3) Scope & Deliverables
Agency will perform actions typical of local search optimization for law firms, which may include:

GBP Optimization: category/attributes, services, descriptions, Q&A, messaging, appointment link, Posts.

Review Program: compliant request workflows; response management.

Local On-Site Work: practice-area + city pages (as needed), title/meta updates, internal links, local/business schema.

Citations/Directories: creation/cleanup of priority listings.
-
Tracking: call tracking lines, form tagging, and monthly roll-up reporting.
Out-of-Scope: Paid media, web redesign, custom development, PR, or content beyond the monthly plan are separate estimates unless agreed upon by both Client by Design and YOU, the client.
4) Client Responsibilities
Client will: (a) provide timely access/approvals within 5 business days; (b) supply accurate business information and disclaimers required for attorney advertising; (c) ensure staff complies with review-request workflows; (d) maintain ownership/administrative access to GBP, domain, analytics, call tracking, and hosting.
5) Compliance & Advertising Rules

Agency follows best practices for attorney advertising; however, Client is the final reviewer and responsible for compliance with applicable jurisdictional rules (e.g., no promises of outcome, required disclaimers).

Client will not request or authorize the solicitation of fake reviews or other deceptive practices. Agency may suspend Services if such requests are made.
6) Performance Notes
SEO and local visibility depend on market competition and third-party platforms. No specific ranking, lead volume, or revenue is guaranteed. Agency commits to commercially reasonable best efforts and transparent reporting.
7) Intellectual Property & Access

Work Product: Upon full payment of amounts due, Client owns final, client-specific deliverables created under this Agreement (site copy, schema tailored to Client, listings data).

Agency Materials: Agency retains ownership of methods, templates, and tools; Client receives a non-exclusive license to use them as embedded in deliverables.

Portfolio: Agency may reference Client’s name/logo and non-confidential results in portfolios/case summaries unless Client objects in writing.
8) Confidentiality & Data
Each party will keep the other’s non-public information confidential and use it only to perform this Agreement. Call recording, if enabled, is subject to applicable consent laws; Client is responsible for notifying staff and callers as required.
9) Suspension & Pause
Agency may pause Services for nonpayment, missing access, or compliance concerns without waiving fees. One elective pause up to 30 days is permitted per 6-month period with $500/month holding fee to retain priority scheduling.
10) Warranties, Liability & Indemnity

Services are provided “as is” except that Agency warrants it will perform in a professional and workmanlike manner.

Limitation of Liability: Agency’s aggregate liability will not exceed fees paid by Client in the three (3) months preceding the claim. No indirect or consequential damages.

Indemnity: Client will indemnify Agency against claims arising from Client’s content, regulatory non-compliance, or misuse of the Services.
11) Independent Contractor; Non-Solicit
Agency is an independent contractor. For 12 months after termination, Client will not solicit Agency employees/contractors to circumvent this Agreement.
12) Governing Law; Disputes
This Agreement is governed by the laws of [New York], without regard to conflict rules. Before filing suit, the parties will attempt good-faith resolution for 15 days after written notice.
13) Notices; E-Signature
Official notices may be sent to [em***@****nt.com] and su*****@************gn.com. Electronic signatures and approvals are valid and enforceable.
14) Entire Agreement; Changes
This Agreement is the entire understanding regarding the Services. Changes must be in writing (email acceptable) and acknowledged by both parties.
